Premier, Inc., a Delaware corporation headquartered in Charlotte, North Carolina, together with its current and future Affiliates (“Premier,” “we,” “us”, or “our”), takes your privacy and the protection of your personal data seriously. Please read this Employee and Job Applicant Privacy Notice (“Notice”) carefully as it contains important information about our privacy practices throughout our recruitment and employment process. This Notice explains how we collect, process, use, disclose, share, and protect your personal information and outlines your respective privacy rights.
This Notice does not form a contract of employment or other similar with us.
This Notice applies to job applicants and all workforce members of Premier, as applicable under U.S. privacy law.
In addition, this Notice does not apply to personal information collected when you visit www.premierinc.com or other Premier-operated websites. Such personal information collected on these websites is governed by the publicly available Premier Privacy Notice.
ROLE AS INDEPENDENT/JOINT CONTROLLER AND PROCESSOR
Under applicable privacy laws, an “independent controller” means a company or legal person who determines the purposes and means of processing your personal information. For the processing activities described in this Notice, we are an independent controller, and in certain U.S. jurisdictions like California, we are a “business.”
If you interact with our content on third-party platforms (e.g., LinkedIn), please note those platforms may have separate privacy policies that may apply. In some cases, we may act as a joint or independent controller regarding such platforms for certain personal information, depending on the nature of the transaction.
CATEGORIES AND TYPES OF PERSONAL INFORMATION WE COLLECT ABOUT YOU
In the preceding 12 months, the categories and specific types of personal information we have collected, and are collecting, through your employment or other similar relationship with us include the following:
- Identifiers:
- Contact information, such as your name, postal address, phone number, e-mail address, photograph, government-issued ID and Tax ID numbers (e.g., social security numbers, visa and passport information, and work/residence permits), access right data including physical ID cards and IT credentials, employee ID numbers, and other similar identifiers. We may collect this information to verify your identity and information, to communicate with you and to enable your employment with Premier.
- Information provided by you in the course of evaluating or engaging you for employment or other positions (including your name, contact information, CV, resume, cover letter and any other information provided by or about you, including information from references and background check providers);
- Other personal information contained in content you submit to us.
- Records Information, such as information about your preferences and characteristics, your health and health insurance information, information about your beneficiaries, accommodations and immunization information for certain member hospitals.
- Characteristics of Protected Classifications under California or U.S. Federal Law, such as your date of birth, age, job title/position, race and ethnic origin, citizenship, gender, marital status and dependent, spousal and other family information, medical information, veteran status and disability information.
- Commercial Information, such as your consumer history. We may collect this information to provide certain employee benefits to you.
- Biometric Information, such as a scan of face geometry, hand or fingerprints in connection with security and access control for facilities, offices, and systems and identity verification and fraud prevention purposes.
- Internet or other Electronic Activity Information, such as your use of your work email account, the internet (including your browsing history and search history on company provided devices), and our computers, phones and other devices to which you have access. We may collect this information to provide IT services.
- Geolocation Data, such as the precise location of your home and office. We may collect this information for the purpose of providing access to Premier assets and systems, office locations or facilitating interactions with you.
- Audio, Electronic, Visual or Similar Information, such as photos, videos, and recordings and transcriptions to facilitate meetings, calls, or other discussions with you or security video footage when you visit our premises or recording (subject to Premier’s recording policies) from when you communicate with us about work or your employment through audio, visual or other electronic means.
- Education Information that is not publicly available personally identifiable information as defined in the Family Educational Rights and Privacy Act (FERPA), such as transcripts and other educational records for background checks.
- Professional and Employment-Related Information, such as information about your title and company, compensation, current and former employment, references, professional degrees, licenses, and certifications, education background, background check information (including criminal history, fraud and sanctions checks), benefits and leave information, performance and disciplinary information, information related to training and skills development, information related to health and safety, information related to any legal issues or disputes that may arise, certain identifiers (in order to contact you), time-clock data and other employment-related information, including your employment goals and objectives.
- Sensitive Personal Information:
- Financial information, such as your financial account information for payroll and expense reimbursement purposes, and certain information for credit checks, where applicable.
- Medical information, such as accommodation information and immunization information for certain member hospitals.
- Race and ethnicity information, with your consent. In addition, we may obtain identifiers such as government-issued ID numbers and Tax ID numbers, such as U.S. Social Security numbers.
In certain cases, you may be under a statutory or contractual requirement, or other obligation to provide personal information to us for the lifecycle of the employment or other similar relationship. Please note if you do not provide certain personal information to us, it may cause delays with relevant employment activities.
Personal information does not include de-identified data or information that is publicly available. The personal information we may collect depends on how you interact with us. In collecting your personal information, we aim to adhere to principles of data minimization and purposes limitation.
CATEGORIES OF SOURCES OF YOUR PERSONAL INFORMATION
We collect personal information from the following categories of sources:
- You, directly in person, by telephone, text or email and/or via our website or mobile app, job application, forms, assessments or automatically through your use of Premier devices, systems and facilities.
- Third party with your consent, such as background check service providers or your bank.
- Internet service providers.
- Government entities.
- Operating systems and platforms;.
- Social networks.
- Publicly accessible sources;.
- Our IT and security systems, including:
- Door entry systems and reception logs.
- Automated monitoring of our websites and other technical systems, such as our computer networks and connections, CCTV and access control systems, communications systems, email and instant messaging systems.
Specific Business and Commercial Purposes for Processing
- Maintaining our work relationship with you and employment-related information.
- Ensuring security and integrity, verifying or maintaining the quality or safety of a product or service, and performing services on behalf of the business including access to our administrative and IT systems.
- Recruiting, hiring, onboarding.
- Performing background checks or credit checks.
- Personnel administration, such as identity verification, tax, and social security management, scheduling, communications, establishing emergency contact information, and processing employee/personnel work-related claims.
- Benefits processing, including determining eligibility for you and your dependents and beneficiaries.
- Payroll and business expenses, salary/sick pay, workers compensation information, and administering leaves of absences.
- Protecting the health and safety of our personnel, clients, guests, and the general public.
- For other purposes related to diversity and inclusion initiatives, as permitted by applicable law.
- Training and career development, performance reviews, engagement, and evaluations.
- Determining promotions, transfers, salary, awards, and bonuses.
- Monitoring the use of IT and other company equipment and property for security purposes, to protect against fraud, and managing disciplinary matters to ensure compliance with our policies and procedures.
- Complying with our legal obligations under federal and state employment laws.
- Our own internal business purposes, including performing analytics and applying algorithms to discover ways to improve our business, identify trends in our workforce and enhance our service offerings.
- Facilitating meetings, calls, or other discussions we have with you, and where notice is provided.
- Research and strategic development such as information collected for business, product, strategy, and technological development, excluding marketing and advertising activities.
- Backups and archives for disaster recovery, business continuity, and record keeping obligations.
- For other purposes consistent with the context of the collection of your information, or as otherwise disclosed to you prior to the use of your information.
TO WHOM WE DISCLOSE PERSONAL INFORMATION FOR BUSINESS PURPOSES; CATEGORIES OF THIRD PARTIES/RECIPIENTS OF PERSONAL INFORMATION
In the preceding 12 months, the aforementioned categories and specific types of personal information collected through your employment or other similar relationship with us for the purposes described above may have been disclosed to the following categories of recipients:
- Service providers under contract to perform services on our behalf, including, but not limited to, background check services, employee benefits services, Human Resources and IT capabilities, and auditors. Our policy is to require our service providers not to use or disclose your personal information for any purpose other than for providing legitimate services to us.
- Affiliates and subsidiaries that we own or control or are owned or controlled by (our “Corporate Family”).
- We may share your personal information with companies or individuals outside of Premier who may use your personal information for their purposes (a “Third Party”). For example:
- From time to time, we may be required to provide Personal Information to a Third Party in response to a court order, subpoena, government investigation, or as otherwise required by law or legal process.
- We may disclose your personal information with third parties, such as law enforcement agencies, other government agencies or health authorities (i) when we, in good faith, believe you or others are acting unlawfully; (ii) when we believe it is necessary or appropriate to satisfy any law, regulation or other governmental request; (iii) to operate our business and sites properly; (iv) to protect or defend our rights or the rights or well-being of our users, even without a subpoena, warrant or court order; or (v) we believe disclosure is necessary to protect the health and safety of our personnel, clients, guests and the general public.
- We may disclose your personal information to enforce or apply agreements we have with you.
- Credit reporting agencies.
- Our insurers and brokers.
- Our bank(s).
- If we are involved in a merger, acquisition, joint venture, financing, reorganization, divestiture, dissolution, liquidation or sale of business or assets we may share personal information collected from and about users to one or more third parties involved in such transaction. In such case, we will require the relevant third parties to provide comparable levels of protection that Premier provides with respect to the personal information we share.
- We may disclose information to third parties where we have received your consent for doing so.
We do not sell or share your personal information covered under this Notice.
WHY WE USE YOUR PERSONAL INFORMATION; LAWFUL BASIS FOR PROCESSING
Under certain applicable privacy laws, we can only use your personal information if we have a proper reason for doing so. We generally use your personal information as above under the following conditions:
- To comply with our legal and regulatory obligations;
- Explicit consent, where applicable;
- Necessary for the performance of the employment contract with you or to take steps at your request before entering into such contract;
- For our legitimate business interests or those of a third party (e.g., business or commercial reasons to use your information, so long as this is not overridden by your own rights and interests); or
- Where you have provided your consent, which you have the right to withdraw at any time, without affecting its lawfulness of processing before withdrawal.
We may also need to share some personal information with other parties, such as potential buyers of some or all of our business or during a re-structuring. We will typically anonymize information, but this may not always be possible. Recipients of the information will be bound by confidentiality obligations.
CHILDREN’S PRIVACY
We do not knowingly collect, sell, share or profile in furtherance of decisions that produce legal or similarly significant effects without consent any personal information of children under the age of 18. If we have actual knowledge that we have collected such information, we will delete it promptly. Please contact us if you believe we have unintentionally or mistakenly collected personal information from an individual under the age of 18.
YOUR PRIVACY RIGHTS
Depending on where you live and applicable law, you may have some or all of the following rights:
- Right to Know/Access
You may request the right to know and access the following:- The categories of personal information we have collected or disclosed for a business purpose.
- The categories of sources from which that information was collected.
- The business or commercial purposes for collecting, selling, or sharing that information.
- The categories of third parties, or a specific list of third parties, where applicable, with whom we disclose or share your personal information with.
- The specific pieces of personal information we have collected about you.
You also have the right to access information about the use of Automated Decisionmaking Technology (ADMT), if any. We are not actively aware of the use of ADMT, however, we reserve the right to update this Notice as necessary.
- Right to Correct or Rectification
If we maintain inaccurate personal information about you, you may request that we correct it. We will use commercially reasonable efforts to make the correction upon receiving a verifiable request. - Right to Delete
You may request that we delete personal information we may have collected from you, subject to certain exceptions. If your request has been verified and no exception applies, we will:- Delete your personal information from our records.
- Direct our service providers or contractors to delete it.
- Direct third parties to delete it (unless doing so is impossible or involves disproportionate effort).
- We may deny your deletion request if the information is reasonably necessary to:
- Complete a transaction or fulfill a contract with you.
- Ensure security and integrity to the extent the use of the personal information is reasonably necessary and proportionate for those purposes.
- Debug to identify and repair errors that impair existing intended functionality.
- Exercise free speech.
- Engage in certain types of research (with your informed consent).
- Enable internal uses reasonably aligned with your relationship with us.
- Comply with legal obligations or otherwise enable solely internal uses reasonably aligned with the context in which provided.
- Right to Data Portability
You may have the right to obtain a copy of your personal information in a portable, and to the extent technically feasible, readily usable format, and request transfer of such copies to another controller, if applicable and under relevant circumstances. - Right to Object and/or Restrict Processing
In certain jurisdictions, you may have the right to object to and/or restrict the processing of your personal data by us, in particular if the processing of your personal information is based on (i) the necessity of the performance of a task in the public interest or (ii) legitimate business interests. We will then stop the processing of your personal information unless we remain legally authorized to do so. - Right to Opt-Out of the Sale or Sharing or Targeted Advertising
We do not sell or share your personal information within the scope of this Policy. - Right to Opt-Out of Automated Decisionmaking Technology (ADMT)
We do not use your personal information for ADMT within the scope of this Policy. We are not actively aware of the use of ADMT, however, we reserve the right to update this Notice, as necessary. - Right to Opt-Out of Profiling
You may have the right to opt out of profiling in furtherance of decisions that produce legal or similarly significant effects that concern you. You may also have the right to question the results of the profiling, receive an explanation of how the result was reached, and review the personal information used in the profiling. We are not actively aware of the use of profiling within the scope of this Policy, however, we reserve the right to update this Notice, as necessary. - Right to Limit the Use and Disclosure of Sensitive Personal Information
You may have the right to limit the use and disclosure of your sensitive personal information. A clear mechanism for you to exercise this choice will be provided, where applicable. We are not actively aware of the use or disclosure of sensitive personal information within the scope of this Policy, however, we reserve the right to update this Notice, as necessary. - Your Choices; How to Exercise Your Rights

- Timely Responses
We will acknowledge your response and respond to your request in compliance with applicable law, usually within 30-45 days of receipt thereof, and in more difficult cases, we may extend our response time after communicating the same to you. - Authorized Agents
If you are submitting a request on an individual’s behalf, please provide:- Your contact details and proof of your authorization.
- The name and contact info of the person you are representing.
We may also require a signed permission form or legal documentation, such as Power of Attorney or similar to verify authorization.
- Right to Appeal
If we deny your rights request, and you live in a state that provides for this right, you may have the right to appeal our decision. We will provide you with the necessary information to submit an appeal at that time. - Right to Non-Discrimination
It should go without saying, but we will not hold it against you for exercising any of your rights. You have the right not to be treated differently for exercising your privacy rights. This means we will not:- Deny you goods or services;
- Charge different prices or impose penalties;
- Provide a different level or quality of services; or
- Suggest you will receive different treatment for exercising your rights.
- Right to Lodge a Complaint with a Supervisory Authority
In certain jurisdictions, you may have the right to file a complaint concerning our processing of your personal information with your national (or in some countries, regional) data protection authority. If you are located in the European Economic Area, you can find your data protection authority at https://www.edpb.europa.eu/about-edpb/about-edpb/members_en. If you are located in the United Kingdom, please visit the Information Commissioner’s Office (ICO) at https://ico.org.uk/make-a-complaint/.
RETENTION
To the extent permitted by applicable law, we retain personal information only as long as reasonably necessary to fulfill the business purpose for which it was originally collected unless a longer retention period is required based on applicable law, regulation and/or professional standards. We may also do so to comply with our legal obligations or to protect our business interests.
In determining the criteria by which to retain or dispose of your personal information, we consider the type, sensitivity, context and purpose of collecting the information.
Subject to certain exceptions, this does not affect your right to request deletion of your personal information before the end of its retention period. When it is no longer necessary to retain your personal information, we will delete or anonymize it.
CHANGES TO OUR PRIVACY NOTICE
We may change, modify or update this Notice from time to time, or as necessary in accordance with applicable laws, rules, regulations and industry standards. We encourage you to review this Notice periodically to stay informed about any changes.
If we make any material updates to this Notice, we will endeavor to notify you prior to the changes taking effect through one or more of the following means:
- Identifying the date of last update in this Notice and/or posting a notice or statement directly;
- Or by any other commercially reasonable method.

DEFINITIONS
- Job Applicant – Any individual applying for employment or other similar relationship with Premier.
- Personal Information – Information about a real, identifiable person or information that can reasonably be linked to a specific person or household such as IP address, device ID or another personal identifier. Common examples of PI include, but are not limited to, name, email address, phone number, home or IP address, device or employee ID numbers, health, financial or specific location data.
- Workforce Member – Any former or current individual employee, contractor, consultant, temporary worker or intern at Premier.
