Premier, Inc., a Delaware corporation headquartered in Charlotte, North Carolina, together with its current and future Affiliates (“Premier,” “we,” “us”, or “our”), takes your privacy and the protection of your personal data seriously. Please read this Privacy Notice (“Notice”) carefully as it contains important information about our privacy practices. This Notice explains how we collect, process, use, disclose, share, and protect your personal information and outlines your respective privacy rights in the following contexts:
- Online, through our websites, blogs, mobile applications, social media pages, related digital content, channels, communications, or interactions with us (collectively, the “Sites”),
- Offline, in connection with sales, marketing, partner and supplier engagement,
- From third party sources, including ad networks and lead brokers; and
- From other online or offline services, tools, events, applications, and any other context in which we link to or otherwise provide you with a copy of this Notice (collectively, the “Services”).
When you visit our Sites or use or interact with any of our Services, we may collect information about you, which may include personal information or personal data, as such terms are defined under applicable privacy laws (hereinafter, “personal information”). Please note that our Terms and Conditions are hereby incorporated by reference and apply to your use or continued use and interaction with our Site and/or our Services.
Please note this Notice does not apply in the following contexts:
- If you are a job applicant or current or former employee exercising rights related to your current, prior, or potential employment with us. In these cases, we may provide a separate privacy notice, where required;
- Where another privacy notice is linked or otherwise provided by an Affiliate, that privacy notice will control; or
- Where we may receive your “Protected Health Information” in our context as a “Business Associate,” as defined under the U.S. Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), and its implementing regulations.
- For example, we may receive your Protected Health Information when we perform services on behalf of your health care providers. In such cases, we adhere to the Business Associate Agreement we have with your health care provider. Your health care provider’s HIPAA Notice of Privacy Practices and HIPAA will govern our collection and use of your Protected Health Information.

ROLE AS INDEPENDENT/JOINT CONTROLLER AND PROCESSOR
Under applicable privacy laws, an “independent controller” means a company or legal person who determines the purposes and means of processing your personal information. For the processing activities described in this Notice, we are an independent controller, and in certain U.S. jurisdictions like California, we are a “business.”
If you interact with our content on third-party platforms (e.g., LinkedIn), please note those platforms may have separate privacy policies that may apply. In some cases, we may act as a joint or independent controller regarding such platforms for certain personal information, depending on the nature of the transaction.
Where we provide Services to our customers, process personal information on their behalf, and act on their instruction, we are a “processor,” and our customer’s privacy notice(s) apply to the processing of your personal information.
CATEGORIES AND TYPES OF PERSONAL INFORMATION WE COLLECT ABOUT YOU
In the preceding 12 months, the categories and specific types of personal information we have collected, and are collecting, through the Sites and Services include the following:
- Identifiers:
- Contact information (such as name, phone and fax number, email and postal address) for you or for others (e.g., principals in your business);
- Contact information you provide about friends or other people you would like us to contact;
- Information used to create your online account (such as username, password and security questions and answer);
- Other personal information contained in content you submit to us;
- Information necessary to provide our Services or that you provide as a customer to license, purchase, or use the Services, such as information related to your completion of continuing education programs we make available in connection with our Services;
- Characteristics of protected classifications under California or U.S. federal law:
- Biographical and demographic information (such as date of birth, age, gender, job title/position;
- Commercial information, including purchase and customer service history;
- Internet or other electronic network activity information, including clickstream data and other information about your online activities (such as information about your devices, browsing actions, app usage patterns and logs, content you view or engage with), including across our websites and third-party websites, that we obtain through the use of cookies, web beacons and similar tracking technologies;
- Geolocation data (such as data derived from your IP address, country and zip code);
- Audio, electronic, visual, or similar information, such as photos, videos, and recordings and transcriptions to facilitate meetings, calls, or other discussions with you;
- Personal information necessary to provide our Services, to audit or monitor your use thereof, where applicable, or that you provide as a customer to license, purchase, or use the Services (including, but not limited to, completion of continuing education programs);
- Inferences drawn from personal information (e.g., to create a profile reflecting your preferences and characteristics);
- Sensitive personal information:
- Precise geolocation of your mobile device where we have provided notice and choice, as appropriate;
- Financial information (such as payment information, including name, billing address and payment card details (i.e., card number, expiration date and security code); bank account information; financial statements; income and credit score); and
- In addition, we may obtain identifiers such as government-issued ID numbers and Tax ID numbers, such as U.S. Social Security numbers.
You are not under any statutory or contractual requirement, or other obligation to provide personal information to us, However, please note if you do not provide personal information to us for the Sites and/or Services, it may cause delays or prevent us from providing such Services or parts of the Sites to you, you may not receive communications from us, or be able to register for certain events.
Personal information does not include de-identified data or information that is publicly available. The personal information we may collect depends on how you interact with us. In collecting your personal information, we aim to adhere to principles of data minimization and purposes limitation.
CATEGORIES OF SOURCES OF YOUR PERSONAL INFORMATION
We collect personal information from the following categories of sources:
- You, directly in person, by telephone, text, or email and/or via our website and mobile apps;
- Third party with your consent (i.e., your bank);
- Advertising networks;
- Internet service providers;
- Data analytics and data aggregator providers;
- Government entities;
- Operating systems and platforms;
- Social networks;
- Data brokers;
- Publicly accessible sources;
- Cookies and other tracking technologies on our website;
- Our IT and security systems, including:
- Door entry systems and reception logs;
- Automated monitoring of our websites and other technical systems, such as our computer networks and connections, CCTV and access control systems, communications systems, email, and instant messaging systems.
SPECIFIC BUSINESS AND COMMERCIAL PURPOSES FOR PROCESSING
- Provide and administer our Services and otherwise fulfill or meet the reason you provided the information;
- Process and fulfill orders and keep you informed about the status of your order;
- Communicate about and administer our Services, events, programs and promotions (such as by sending alerts, promotional materials, newsletters, and other marketing communications);
- Facilitate meetings, calls, or other discussions we have with you, and where notice is provided;
- Conduct and facilitate surveys, contests, focus groups and market research initiatives;
- Perform data analytics (such as market research, trend analysis, financial analysis and customer segmentation);
- Engage in digital advertising, including behavioral advertising and ad retargeting, and evaluate the effectiveness of our marketing efforts (including through our participation in ad networks);
- Provide customer support;
- Process, evaluate and respond to requests, inquiries and applications;
- Create, administer and communicate with you about your account (including any purchases and payments);
- Conduct marketing and sales activities (including generating leads, pursuing marketing prospects, performing market research, determining and managing the effectiveness of our advertising and marketing campaigns and managing our brand);
- Operate, evaluate and improve our Services (such as by administering, enhancing and improving our tools/resources and Services; developing new Services);
- Perform accounting, auditing, payment processing, billing, reconciliation;
- Detect and prevent potentially illegal acts, violations of our policies, fraud and/or data security breaches, and other legal compliance purposes;
Compliance with legal and regulatory requirements
- Maintain and enhance the safety and security of our Services, network information systems, information resources and employees; and
- For other purposes consistent with the context of the collection of your personal information, as otherwise disclosed to you prior to the use of your personal information, and/or for which we have obtained your consent.
We may combine personal information we obtain through Services with other information for the purposes described above. We may aggregate or anonymize personal information and use it for the purposes described above and for other purposes to the extent permitted by laws applicable to us.
TO WHOM WE DISCLOSE PERSONAL INFORMATION FOR BUSINESS PURPOSES; CATEGORIES OF THIRD PARTIES/RECIPIENTS OF PERSONAL INFORMATION
In the preceding 12 months, the aforementioned categories and specific types of personal information collected through the Sites and/or Services for the purposes described above may have been disclosed to the following categories of recipients:
- Affiliates and subsidiaries in connection with the provision of our Sites and Services.
- Service providers under contract to perform services on our behalf (including, but not limited to, fraud investigations, fulfilling orders, delivering packages, removing repetitive information from customer lists, software development, providing customer support, email delivery, marketing communications, bill collection, payment processing, site analytics and business operations);
- Third parties consistent with your direction and/or the context of our collection of the information, such as marketing agencies or website hosts, or when we share continuing education information with professional boards for continuing education fulfillment purposes;
- We may make your personal information available to advertising and analytics companies as further detailed in our Cookies and Online Tracking Technologies Policy;
- Credit reporting agencies;
- Our insurers and brokers;
- Our bank(s);
- Law enforcement agencies and regulatory bodies. We may disclose your personal information as required by law, such as to comply with a subpoena, law or other legal process, when we believe in good faith that disclosure is necessary to comply with such legal process, to establish, exercise or defend our legal rights, to protect your safety or the safety of others, to investigate fraud, or respond to a government request, or otherwise with your consent; and
- If we are involved in a merger, acquisition, joint venture, financing, reorganization, divestiture, dissolution, liquidation or sale of business or assets we may share personal information collected from and about users to one or more third parties involved in such transaction. In such case, we will require the relevant third parties to provide comparable levels of protection that Premier provides with respect to the personal information we share.
We do not “sell” data to third parties for monetary value or other consideration, except to the extent our use of cookies and online tracking technologies for targeted advertising constitutes a “sale” under the CCPA/CPRA. WHY WE USE YOUR PERSONAL INFORMATION; LAWFUL BASIS FOR PROCESSING
Under certain applicable privacy laws, we can only use your personal information if we have a proper reason for doing so. We generally use your personal information as above under the following conditions:
- To comply with our legal and regulatory obligations;
- For the performance of our contract with you or to take steps at your request before entering into a contract;
- For our legitimate business interests or those of a third party (e.g., business or commercial reasons to use your information, so long as this is not overridden by your own rights and interests); or
- Where you have provided your consent, which you have the right to withdraw at any time, without affecting its lawfulness of processing before withdrawal.
We may also need to share some personal information with other parties, such as potential buyers of some or all of our business or during a re-structuring. We will typically anonymize information, but this may not always be possible. Recipients of the information will be bound by confidentiality obligations.
CHILDREN’S PRIVACY
Our Sites and Services are not directed or intended for individuals under the age of 18. We do not knowingly collect, sell, share, or profile in furtherance of decisions that produce legal or similarly significant effects without consent any personal information of children under the age of 18. If we have actual knowledge that we have collected such information, we will delete it promptly. Please contact us if you believe we have unintentionally or mistakenly collected personal information from an individual under the age of 18.
YOUR PRIVACY RIGHTS
Depending on where you live and applicable law, you may have some or all of the following rights:
RIGHT TO KNOW/ACCESS
You may request the right to know and access the following:
- The categories of personal information we have collected or disclosed for a business purpose;
- The categories of sources from which that information was collected;
- The business or commercial purposes for collecting, selling, or sharing that information;
- The categories of third parties, or a specific list of third parties, where applicable, with whom we disclose or share your personal information with;
- The specific pieces of personal information we have collected about you.
You also have the right to access information about the use of ADMT, if any. We are not actively aware of the use of ADMT, however, we reserve the right to update this Notice as necessary.
RIGHT TO CORRECT OR RECTIFICATION
If we maintain inaccurate personal information about you, you may request that we correct it. We will use commercially reasonable efforts to make the correction upon receiving a verifiable request.
RIGHT TO DELETE
You may request that we delete personal information we may have collected from you, subject to certain exceptions. If your request has been verified and no exception applies, we will:
- Delete your personal information from our records;
- Direct our service providers or contractors to delete it;
- Direct third parties to delete it (unless doing so is impossible or involves disproportionate effort).
We may deny your deletion request if the information is reasonably necessary to:
- Complete a transaction or fulfill a contract with you;
- Ensure security and integrity to the extent the use of the personal information is reasonably necessary and proportionate for those purposes;
- Debug to identify and repair errors that impair existing intended functionality;
- Exercise free speech;
- Engage in certain types of research (with your informed consent);
- Enable internal uses reasonably aligned with your relationship with us;
- Comply with legal obligations or otherwise enable solely internal uses reasonably aligned with the context in which provided.
RIGHT TO DATA PORTABILITY
You may have the right to obtain a copy of your personal information in a portable, and to the extent technically feasible, readily usable format, and request transfer of such copies to another controller, if applicable and under relevant circumstances.
RIGHT TO OBJECT AND/OR RESTRICT PROCESSING
In certain jurisdictions, you may have the right to object to and/or restrict the processing of your personal data by us, in particular if the processing of your personal information is based on (i) the necessity of the performance of a task in the public interest or (ii) legitimate business interests. We will then stop the processing of your personal information unless we remain legally authorized to do so.
RIGHT TO OPT-OUT OF THE SALE OR SHARING OR TARGETED ADVERTISING
Some state privacy laws define “sale” broadly to mean the exchange of personal information for anything of value, not just money. Based on that definition, we may “sell” and “share” personal information collected via cookies and other tracking technologies, such as IP addresses and browsing data, when we allow third parties to place certain types of cookies or other tracking technologies on our websites for cross-contextual behavioral or targeted advertising.
You may have the right to opt out of the sale or sharing of your personal information for these purposes, as well as identify the third-parties involved in these activities. Please use the “Do Not Sell or Share My Personal Information” link in the footer of our websites to view the third-parties whom use optional cookies on our websites, and to exercise your Right to Opt Out of Sale or Share of personal information for these purposes, and use the toggles to turn off non-necessary cookies.
RIGHT TO OPT-OUT OF AUTOMATED DECISIONMAKING TECHNOLOGY (ADMT)
You may have the right to opt out of ADMT, meaning any technology that processes your personal information and uses computation to replace human decisionmaking or substantially replace human decisionmaking. We are not actively aware of the use of ADMT, however, we reserve the right to update this Notice, as necessary.
RIGHT TO OPT-OUT OF PROFILING
You may have the right to opt out of profiling in furtherance of decisions that produce legal or similarly significant effects that concern you. You may also have the right to question the results of the profiling, receive an explanation of how the result was reached, and review the personal information used in the profiling. We are not actively aware of the use of profiling, however, we reserve the right to update this Notice, as necessary.
RIGHT TO LIMIT THE USE AND DISCLOSURE OF SENSITIVE PERSONAL INFORMATION
You may have the right to limit the use and disclosure of your sensitive personal information. A clear mechanism for you to exercise this choice will be provided, where applicable. We are not actively aware of the use or disclosure of sensitive personal information, however, we reserve the right to update this Notice, as necessary.

TIMELY RESPONSES
We will acknowledge your response and respond to your request in compliance with applicable law, usually within 30-45 days of receipt thereof, and in more difficult cases, we may extend our response time after communicating the same to you.
AUTHORIZED AGENTS
If you are submitting a request on an individual’s behalf, please provide:
- Your contact details and proof of your authorization;
- The name and contact info of the person you are representing
We may also require a signed permission form or legal documentation, such as Power of Attorney or similar to verify authorization.
RIGHT TO APPEAL
If we deny your rights request, and you live in a state that provides for this right, you may have the right to appeal our decision. We will provide you with the necessary information to submit an appeal at that time.
RIGHT TO NON-DISCRIMINATION
It should go without saying, but we will not hold it against you for exercising any of your rights. You have the right not to be treated differently for exercising your privacy rights. This means we will not:
- Deny you goods or services;
- Charge different prices or impose penalties;
- Provide a different level or quality of services; or
- Suggest you will receive different treatment for exercising your rights.
RIGHT TO LODGE A COMPLAINT WITH A SUPERVISORY AUTHORITY
In certain jurisdictions, you may have the right to file a complaint concerning our processing of your personal information with your national (or in some countries, regional) data protection authority. If you are located in the European Economic Area, you can find your data protection authority at https://www.edpb.europa.eu/about-edpb/about-edpb/members_en. If you are located in the United Kingdom, please visit the Information Commissioner’s Office (ICO) at https://ico.org.uk/make-a-complaint/.
RETENTION
To the extent permitted by applicable law, we retain personal information only as long as reasonably necessary to fulfill the business purpose for which it was originally collected unless a longer retention period is required based on applicable law, regulation, and/or professional standards. We may also do so to comply with our legal obligations or to protect our business interests.
In determining the criteria by which to retain or dispose of your personal information, we consider the type, sensitivity, context, and purpose of collecting the information.
Subject to certain exceptions, this does not affect your right to request deletion of your personal information before the end of its retention period. When it is no longer necessary to retain your personal information, we will delete or anonymize it.
THIRD PARTY LINKS, WEBSITES, AND PLATFORMS
Our Sites and Services may provide links to other third-party websites, platforms, or plug-in features. We are not responsible for the privacy practices or content of these third-parties. Prior to accessing, interacting with, or clicking to a third-party website or feature through our Sites and/or Services, please review their respective privacy policies and terms before engaging.
DO NOT TRACK SIGNALS
Some browser features or add-ons allow consumers to send an “opt-out preference signal” to companies whose websites they visit, such as the “Do Not Track” signal. These signals, when turned on, tell the websites you visit that you do not wish to be tracked or do not want your information shared for targeted advertising purposes. Many websites and applications, including our Sites and Services, do not currently respond to web browser DNT signals because such signals are not yet uniform. NOTE TO INTERNATIONAL USERS
Our Sites and Services are intended for individuals located in the United States. Please note that the United States may not offer the same level of privacy protections as the law of your jurisdiction. Your personal information may be processed in countries that are not subject to an adequacy decision by the European Commission or the ICO.
If you are located outside of the United States and access our Sites and/or use our Services, or submit your personal information to us, you choose to do so at your own risk. Please be advised that any personal information you provide to us or that we automatically collect will be transferred to the United States, or other countries outside of where you live. By using our Services and/or Sites, or submitting personal information, you explicitly authorize its transfer to and subsequent processing in the United States, and other jurisdictions in certain contexts.
